1. Agreement & Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User", or "Customer") and codeYB (Code Your Business, operating at www.codeyb.com). By accessing our website, engaging our software engineering services, or utilizing our digital tools, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Scope of Software Engineering Services

codeYB provides enterprise software development services including but not limited to:

• Custom full-stack web application development (React 19, Next.js 16, Python FastAPI, Node.js, Angular, Vue.js).
• Cross-platform mobile application engineering (React Native, Flutter, Swift, Kotlin).
• SaaS platform architecture, multi-tenant database design, and cloud infrastructure setup (AWS, Kubernetes, Docker).
• AI neural agent integration, vector database indexing, and custom developer utilities.

3. Intellectual Property (IP) Transfer & Ownership

Upon complete payment of milestone fees outlined in the applicable Statement of Work (SOW), codeYB transfers 100% full, exclusive, perpetual legal ownership of all custom source code, repository commits, database schemas, UI/UX designs, and technical documentation to the Client.

codeYB retains full ownership of its pre-existing generic framework utilities, open-source building blocks, and website branding (www.codeyb.com logo and trademark).

4. Free Developer Tools Usage Disclaimer

codeYB provides free browser-based developer utility tools (e.g. PDF locker, image OCR, converters, JSON beautifiers) on an "AS-IS" and "AS-AVAILABLE" basis.

Because all processing occurs locally within your web browser environment, codeYB assumes no responsibility or liability for local browser performance, file conversion accuracy, or user data loss on client hardware.

5. Payment Terms, Sprint Milestones & Invoicing

• Milestone Payments: Client payments are tied to agreed sprint deliverables specified in individual Statement of Work (SOW) documents.
• Payment Due Date: Invoices are payable within Net-15 or Net-30 days from the invoice issuance date depending on contract terms.
• Currency & Taxes: Invoices may be billed in USD, INR, EUR, GBP, or CAD depending on client region, exclusive of applicable statutory taxes (e.g. GST/VAT).

6. Confidentiality & Non-Disclosure (NDA)

Both codeYB and the Client agree to hold all proprietary trade secrets, business concepts, user data, and software architecture designs in strict confidence. Neither party shall disclose confidential information to any third party without prior written authorization.

7. Warranties & Service Level Agreement (SLA)

codeYB warrants that all software delivered will adhere to strict TypeScript standards, pass automated unit/integration tests, and be free of intentional malicious code or backdoors. Managed cloud deployments carry a guaranteed 99.99% infrastructure availability SLA.

8. Limitation of Liability

To the maximum extent permitted by applicable law, codeYB's total cumulative liability for any claims arising out of or related to an engagement shall be strictly limited to the total fees actually paid by the Client to codeYB during the six (6) months preceding the event giving rise to liability. Consequential, indirect, or punitive damages are explicitly excluded.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal action or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.
